Terms of Service

1. Acceptance of terms

By accessing or using any Moxra product — including ClauseGuard, STR Optimizer, and Entity Monitor (collectively, the "Services") — you agree to be bound by these Terms of Service. If you do not agree, do not use the Services.

These Terms apply to all users, including visitors, free-tier users, and paying subscribers. Madigan Maksym Development LLC ("we," "us," or "our") operates the Services.

2. Description of services

Moxra provides AI-assisted software tools for contract analysis, short-term rental listing optimization, and SEC filing monitoring. The Services are provided for informational and productivity purposes only.

ClauseGuard provides AI-generated analysis of contracts and legal documents. This analysis does not constitute legal advice and is not a substitute for consultation with a licensed attorney. Always consult qualified counsel before executing any agreement.

STR Optimizer provides AI-generated suggestions for improving short-term rental listings. Suggestions are for informational purposes only. Results may vary and are not guaranteed to improve bookings or revenue.

Entity Monitor provides monitoring of SEC EDGAR filings and sends alert notifications. Filing data is sourced from public SEC databases and is provided as-is. This is not investment advice.

3. Accounts and eligibility

You must be at least 18 years old to use the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at hello@moxra.ai if you suspect unauthorized use.

4. Subscriptions and payments

Certain features require a paid subscription. Subscriptions are billed on a recurring monthly basis through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.

• You may cancel your subscription at any time from your account settings.
• Cancellation takes effect at the end of the current billing period. No partial refunds are issued for unused time.
• We reserve the right to change pricing with 30 days' notice to your registered email address.
• All fees are in US dollars and are non-refundable except as required by applicable law.

5. Acceptable use

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable law or regulation
• Attempt to reverse engineer, scrape, or extract data from the Services in bulk
• Submit content that infringes any third party's intellectual property rights
• Use the Services to generate content intended to deceive, defraud, or mislead others
• Attempt to circumvent any usage limits, paywalls, or access controls
• Resell or sublicense access to the Services without our written consent

6. Content you submit

You retain ownership of any content you submit to the Services (contracts, listing text, URLs, etc.). By submitting content, you grant us a limited license to process it solely for the purpose of providing the Services to you. We do not use your submitted content to train AI models or share it with third parties except as necessary to operate the Services.

7. Intellectual property

The Services, including all software, design, trademarks, and content produced by us, are owned by Madigan Maksym Development LLC. Nothing in these Terms grants you any right to use our trademarks, logos, or brand elements.

8. Disclaimer of warranties

The Services are provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Services will be uninterrupted, error-free, or that AI-generated outputs will be accurate, complete, or suitable for any particular purpose. AI analysis may contain errors and should always be reviewed by a qualified professional before reliance.

9. Limitation of liability

To the fullest extent permitted by law, Madigan Maksym Development LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services, even if we have been advised of the possibility of such damages. Our total liability to you for any claim arising out of these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Madigan Maksym Development LLC and its officers, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Services or violation of these Terms.

11. Termination

We may suspend or terminate your access to the Services at any time for violation of these Terms or for any other reason at our discretion. You may terminate your account at any time by contacting us. Upon termination, your right to use the Services ceases immediately.

12. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in the State of Delaware.

13. Changes to these terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice in the Services. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
